                  Remember that EBTs have had strong legal validation in the past and these moves by HMRC come after a number of months of high publicity tax avoidance news. i.e. It is a knee-jerk reaction.

                  So keep a level head, talk to any professional advisors you take on and help each other out where you can.

                  Updates:

                  Some important advice received from Edge:

                  If you do not appeal, the value of the demand becomes legally enforceable and HMRC will seek payment.
                  If you elect to pay the demand, it is important to note that this will signal your acceptance of HMRC’s position, that the loan payments were indeed income and HMRC will then have the ability to apply the same rationale to the consecutive tax years that followed i.e. 09/10 and 10/11

                  27/5/2013 Update on Rangers case:

                  There has been a recent update in the Murray Holdings (Rangers FC) vs. HMRC Upper Tribunal tax appeal.
                  Last week, a date was published indicating that the Upper Tribunal appeal was set to be heard on the 19th of July 2013.
                  ...
                  The hearing on the 19th of July is a provisional hearing purely for ‘Directions’ and is not ‘Substantive’ which means it is purely to agree the direction of the appeal and not to hear the actual appeal.

                  The general consensus amongst tax advisors remains the same, which is, the Upper Tribunal tax appeal is still some way off and we are unlikely to see any further progress on this matter for quite some time.


                  10/12/2013 Group Representation Update

                  There are a lot of posts around group representation. From what I can see there are 2 current options - please PM me if you know otherwise. As I suspect everyone's situation is unique I would recommend contacting both and find out what they are offering as far as services, strategies and costs.

                  It would be ideal if we could come together as one group, but I think that is a conversation for a later date.
                  1. TheDandy is a former Edge employee and has organised a Edge specific group. He has enlisted the help of tax specialists and I believe is still taking PM's from new posters. Please refer to this post here.
                  2. Saleos is a tax consultant and is looking to represent an Edge specific group. He has done some ground work and is collecting email addresses so that he can update all interested parties at once. He has an introduction post here.

                      Group Representation

                      I am pleased to say that the group that I am now representing is formally established and the first group email circulated this morning.

                      The opportunity remains for people to join and if admin allows it the details of my proposal and how to join are posted below.


                      • A group of former Edge Consulting employees has been formed. The initial closing date was 3 January 2014.

                      • New members can be admitted after that date.

                      • My company is engaged directly with each member of the group to represent him or her in dealing with HMRC’s enquiries into their former employment with Edge during the period up to 9 December 2010. Suitable authority letters will be provided to new members for me to act for them.

                      • I will conduct an initial review of generic scheme documentation to form a view on the prospects of success and advise members of the group accordingly. This process is underway with scheme documentation requested from members of the group to allow that review.

                      • I will provide a template appeal letter for any discovery assessments received for submission by each member personally.

                      • I will circulate a generic note to all members setting out advice on HMRC’s assessing time limits, the use of discovery assessments, and the use of Certificates of Tax Deposit for those that wish to mitigate interest costs.

                      • I will liaise with HMRC to coordinate their enquiries centrally and assist any group members asked to provide documents and/or information as HMRC have the power to issue penalties for any failure to comply.

                      • I will explore on behalf of the group the prospects for settlement with HMRC.

                      • Upon receipt of a copy of the submitted income tax return I will, on a case-by-case basis, review the discovery position and advise those in receipt of discovery assessments accordingly.

                      • I will correspond directly with HMRC to set out the technical arguments against HMRC's views.

                      • I will keep the group updated on any developments with the Group enquiries and indeed others that may be relevant (for example regarding any litigation in other arrangements) by way of an email group.

                      • All of the above will be done with the aim of bringing enquiries to a satisfactory conclusion.

                      What is not included?

                      • Advice on any other taxation issues outside the Edge Consulting arrangements (this can be quoted for an a separate basis if required).

                      • Tailored advice to individual group members on issues unique to them (this would be charged separately).

                      • General tax compliance services.

                      • Third Party costs such as legal fees etc.

                      • Tax, interest or penalties etc.

                      • Litigation costs (either my own or those of lawyers or Counsel).

                      N.B Should it be necessary to incur any Counsel or litigation costs clients will be given the opportunity to decide whether or not to contribute further at that time. Should they not do so they would leave the group and my representation would cease after I have fulfilled the obligations set out above.

                      The above proposal relates to the Edge structure used in the period up to 9 December 2010 only. I would be happy to discuss arrangements used thereafter on an individual basis but would charge separately on an hourly basis for any advice thereon.

                      Costs

                      The costs would for the above would be £800 plus VAT. Fees would be invoiced to each member personally and payable upon joining the group.

                      If, at the time of joining, you have already received a detailed request for “documents and particulars” from HMRC the costs would be £1,250 plus VAT to allow for the additional time required to assist you in compiling the necessary response and reviewing the documents pack prior to submission to HMRC.

                      What to do if you wish to join

                      Please notify me by email. Please confirm when doing so whether or not you are already in receipt of a detailed request from information from HMRC. If in doubt please scan and attach to your email any letter which you believe may be such a request.

                      I will then be pleased to email my terms of business for signature.
