So you are foregoing the opportunity to claim ER, because your Ltd would be classified an investment company. You only risk it when investment is significant (20%+ of your income). Before I'll reach it, i'll move assets to SPV that is owned by my LTD. Besides why would I ever want to draw this? It will be making me money on retirement from dividends / rentals. And if need be, I have full control over the capital for entire period. Edit : what I would do in your case is to lend this money to a child SPV which is owned by your LTD. Then on SPV you can invest as much as you want and at some point simply repay the loan and claim ER.
