Active cases - Procorre
One of the iterations of the above arrangement saw a sale of 96% of shares in a contractor's PSC to Corre SA. In many instances this was accompanied by a change of registered office to an address that we believe was Procorre in the UK.
It would appear that HMRC issued a number of Reg 80 (PAYE) determinations and section 8 (NIC) decisions between February and late March 2023, seeking tax on the loan charge. Given that this is based on the aggregate outstanding loans over the previous nine years, some of the sums demanded were substantial.
Some of these determinations/decisions were sent to the registered office and not the address of the directors (and former owners) of the PSC. It may also be the case that some of these were either not forwarded by Procorre to the registered tax agent or if sent, were filed with no action by those tax agents.
The result is that Debt Management now has an amount of money to chase in respect of a determination/decision that has not been appealed.
The individual directors and former owners are therefore being pursued for sums that they know nothing about in respect of a PSC they no longer own.
Given that HMRC has the ability to transfer the debt to the directors, we have been forced into making a series of late appeals and postponement applications in the hope that HMRC will accept them.
If you used Procorre please check the PSC's account with HMRC and see if there a 2018/19 tax charge that is showing as due and payable. If so, make an appeal as soon as possible.

Thanks for the responses all!
I have engaged a tax specialist who posts on here to try and sort it out for me. I'm kicking myself for being so stupid, but nothing i can do now. I think the 9k would seem like a win at this point, but paying the additional 14k tax that someone else theorretically owes would sting, especially as i already paid them for their sevices! Is anyone aware of general timescales to reach a resolution, or is it an unknown quantity?

Hi all
I also have received a letter from HMRC after using procorre for 12 months! I have an appeal lodged through an advisor. The bill is 9k for myself and 14k for the employer (Procorre). I'm just wondering if anyone got to the end of the line with HMRC and what they had to pay in the end? Was it the full bill (i.e. 23k) or just that they say i owe (9k), and how long did it take to resolve?

I'm trying to understand how HMRC calculated the charge.... giving myself a head ache... is it the money that Procorre paid back to the client? Then add that up over the period of time the person was with Procorre?

Thanks Cojak, I will call them on Monday. I went through the paperwork and statements , it seems hmrc has put some weird numbers . When I calculated based on what is in the contract paper and statements it’s half of the amount hmrc is claiming for. That’s my interpretation but obviously only a tax advisor will be able to confirm ,hopefully on Monday. Iam going to sleep today on that assumption. If not I don’t know what I will do…
