    What does your Memorandum of Incorporation say the share distribution is? What does the Companies House records say about the share distribution?

    Changing the dividend voucher to match that is hardly fraud.

      If you know better than the accountant, then I wonder why you asked the question. There is no debate to be had, as far as I can see. You think what a professional suggests is fraud. Others don't.

        If you were the director of a company with a large number of shareholders then you would have to call a meeting to explain yourself. But since you are the director and sole share holder in the company, so who is there to defraud? Who is going to make a complaint to the Police? No one.

        You made an administrative error and you are now going to correct it. Stop beating yourself up, it's not fraud.
