    Sanity check if I may please - Structure

    Before anyone says so I would ask my accountant but he hung up his boots at the good old age of 73 at Easter - The position is vacant - more below.

    Usual blurb about my health.....

    I may have to go back and do some working for a living after being completely retired for 2.5 years, my mental health being a massive part of that. Indeed I have had a couple of offers. Nothing in stone yet and I have not spoken to my medics yet either and I won't make a final decision without them.

    1) The first is a "social impact company" - high impact commercial strategy - few days a month for a year or more mainly WFH - client happy regarding situation with my health, without seeing a contract or contract terms being discussed this is more caught than a caught thing. Happy to umbrella this and will try and persuade the client to use Clarity.
    2) I still get enquiries for my old UHNWI commercial stuff (product service combo - CEST still says it's outside as I did a quick check before posting here , basic terms - this will be provided - fixed cost ish, To complete the work, you must do this. I sometimes have to pay suppliers and recharge. Occasionally some additional advice and guidance, hourly rate time and travel costs. I may try subbing some of this if it gets too much. These are often up to a week on site. Upto a week WFH. Really need a company for this because I need a brand to use for marketing.
    3) I would hope to build up some passive income (not entirely sure what yet, not got that far, but possibly subscriptions, advertising - its easy enough for me to do)

    Handling no 1 is easy peasy im happy with that. In a way I want it to be caught - can't say much publically, but trust me!
    I'm also happy setting up a company for 2 & 3.
    The question is do I lump everything into courtg9000 international excellency limited or do I split it into 2 companies these days (one for item 2 and then again for item 3?)

    Lastly, does anyone know a good small firm of accountants with a basic to better than basic working knowledge of IR35 in the South Midlands that I might approach, please? No contractor sweatshops a'la SJD et al either please. Also who is good for PII for management consultancy these days.
    I will of course engage the accountant before making a final call.

    Maybe too far but have a look at PaperRocket. Just two ladies running it. Ex SJD'ers and have won awards and special mentions at the CUK awards.

    I'm still with QDOS but other companies often mentioned on here are Hiscox, Kingsbridge, Caunce O'Hare and AbbeyTax to name a few. I seem to remember there is quite a range of prices and I'm not sure if your management consultancy is different to the standard one man LTDs.

      Its just the niche and the marketing side and the fact that its not just a standard bun on seat day rate is a bit different, thats all.

        Personally I drive most side project income through the "main" company in my company structure; except BTL which has its own active Ltd. company, but is financed by the primary group company.

        Normally for side projects I grab the Ltd. as a form of cheap brand protection, and keep them dormant until income justifies the accountancy.

            Stick to one company if you can otherwise you're going to get clobbered for associated companies + corp tax.

                This doesn't make any sense, SPV's are a requirement of the industry providing BTL financing; and even with associated companies company rules, it makes sense to hold BTL via a Ltd. company.

                  Thankfully BTL is not in scope yet. But, yes you are right an SPV for BTL is a requirement.

                    Are you being deliberately obtuse? Holding a BTL in a corporate structure obviously isn’t a requirement to operating a BTL and makes much less sense with the associated company rules.
