      To the person asking about whether they would retrospectively apply tax on stamp duty avoidance through use of a company - yep they will - Mr Osborne stated "you have been warned"

        maybe he's singling out the "small companies" that aren't looking to grow and incentivising start up businesses and penalising 1 man band businesses?

                      Because there are even lower rates elsewhere, but a lot of big US companies setup there - say when you pay Google UK money to advertise they actuall go to Google Ireland, where as in UK Google paid £400k corp tax few years ago, yes that little despite sales of like £2 bln per year.
