Seems like a sound idea. Do you mean a signed actual letter (paper and ink, not email) ? That would have to be sent off recorded/registered post by 3pm for a chance to arrive here.


Only other problem is knowing just WHO at the agency is a 'Duly Authorised Representative/Employee', I'd have to go digging through *ck knows where for their director's name. Otherwise they could just claim, "Oh young Sonal is just an Office Junior and got a bit above herself"...

A contract can be an email, it doesn't have to be a formal letter, only contracts for land and property (as in buildings on land, not just normal everyday property) must be done in writing. Just get a director or their legal officer to send you an email with some quite specific wording, maybe:

I, XXXX, a duly authorised officer of XXXX Ltd, agree that XXXX Ltd will be liable for known and reasonable unknown expenses incurred by Yourco Ltd if the contract between XXXX Ltd and Yourco Ltd to provide services to Thirdpartyco Ltd does not become a fully realised contract at least generating fees sufficient to cover the relevant expenses. I hold myself out as a duly authorised officer permitted to bind XXXX Ltd, if this statement is incorrect in any material way then I accept personal responsibility.

Shyte I forgot to add that they ARE a LTD company (checked Companies House) registered here, so I do have someone to sue if needed.

Being registered at Companies House is reassuring but it is not a statement of credit worthiness.

They not asking you to cross-border commute into Switzerland are they? i.e. sounds like Basel

Nahh just across the border in Konstanz.


Anyway the warchest looks pretty comfy, now though I really don't need a gig this side of Christmas, I'd far rather get back to the grind in Spetember but Sod's law, you get the big money when you least expect AND want it!!

Guess what? They've only JUST gotten the Work Order, starts from Monday. They just NOW asked for a Cert of Incorporation , after requesting and getting Bank/Passport details on Wednesday....

Don't think it will be now, they're terms are to invoice at end of calendar month, they pay a month later - effectively that's 60 days credit. Just not worth the exposure.

60 days is ridiculous. So long as my timesheet is signed by by 5pm Monday I get paid on the Friday!
