    Closing Ltd That Never Traded

    Hi

Apologies if this question has been asked before.

Six months ago I set up a Ltd after my client said they would rather pay me direct than through my umbrella company, anyway long story short I’m still going through the umbrella and its extremely unlikely that I’m going to use the Ltd. I’ve not put one cent through the Ltd it’s just sat there idle, just wondering what’s the best way to close the thing down.

This was the top result when I googled your title: Closing a Ltd company that hasn't traded - UK Business Forums

If it's never traded, you have no bank account, VAT or PAYE registration then you just need to submit a DS01 form to HMRC. Simples.

The other thing I would suggest alongside Clare's comment, is to write a letter to your Corporation Tax office to advise them the company never traded and will shortly be struck off the Companies House register. When a company is formed, the HMRC will auto set it up for Corporation Tax - you should have received a letter (posted to the registered office address) from the HMRC with your company tax reference number on it - use that when writing to them.
