    Limited Company & Dissolved

    Hi . I have a question that is bothering me . If anybody can help . I opened a limited company & did nothing with it , I didn’t trade or do anything . Receive a letter from company house after 15 months in month of July that if I don’t do anything , it would be dissolved . 3 months later , the company was dissolved by the company house . It’s been 2 years after that . That point of time , I was told by my accountant that I don’t need ti file 0 tax as it’s been dissolved . That question is bothering me again, should I have filled a 0 tax ?? Or it’s gets transmitted from company house that The company didn’t trade and it is dissolved .

    Were you registered for VAT or PAYE? Your or your accountant should have informed HMRC about the closure of those schemes if registered for them.

    However, as it's been a few years and your accountant is comfortable with what's been reported (or not, in this case), you should be ok.

      Thank you for the reply . I don’t think I was registered for anything . Accountant opened the ltd. company which after registration didn’t do anything and almost after a year receiver a notice that company house will close it in 3 months time . Then it was disssolved . I was advised by accountant that as I we didn’t trade , or did nothing and it was dissolved by company house , we don’t need to inform tax office of anything . Just wondering if the advice was correct ?

        The reason I am Worrying is that , I read somewhere that after the company was dissolved , HMRC is trying to contact with fine as the tax returns were not filled . Is that correct :

          As far as I understand, if a company is dormant then a tax return is not required so you should be fine.

            You don't understand dormancy though. You have to MAKE a company dormant. It's a process. It doesn't become dormant by you just not using it. If the OP did absolutely nothing to the company then he didn't make it dormant.

              If you didnt trade, then there should be no tax required. If Company House have disolved it might be worth a call to HMRC (if not already completed) to inform them of the dissolve and the fact you never traded.

              Here is some info for you:-

              If your company has never received a 'notice to deliver a company tax return', you can tell HMRC it's dormant by phone (0300 200 3410) or post (Corporation Tax Services, HM Revenue and Customs, BX9 1AX, United Kingdom).
