That's a non compete clause, it's not an NDA.
An NDA is "I won't tell anybody else about what I have learn from their internal documents". This is, for example, necessary if you are advising on a patent. But it does also stop you copying the technique of their solution.
But the product 'shell' is another matter. It is in the public domain (at least the domain of their customers), and anybody can come along and copy it. So asking one individual to sign a pice of paper saying that they wont, is silly.
What is it that they actually want to achieve here?

The PCG has one version - but sign up anyway, there are many more benefits than freebie paperwork! You could also take a look at http://www.simply-docs.co.uk/Default.aspx but you'll have to subscribe there as well.

Non Disclosure Agreements
Hello,
I am in the process of negotiating some work and the client wishes to have me sign a non disclosure agreement as I need to look into their software before being able to offer a quote for the enhancements. - But as this is the 1st time they've done this they
Could anyone provide a template of a document along these lines? - I have thought whether the PCG has a form like this available if I join.
The agreement would just need to be along the lines of:
- the intellectual property in the software is theirs
- I won't use their product shell & produce a product in direct competition with them.
