A friend has got a lead for some work and wants me to do some of it. We're not ready to form a proper company, but I don't think it's wise for me (with a limited company) to invoice my friend (sole trader) who then invoices the end client as it's a lot of money and i'd rather have a more direct link to the client.

Does anyone have experience of this situation and the best way to deal with the finances. I was thinking we have a partnership agreement and open a bank account for a fake umbrella company to pay in the money.

I think you need to set up a Joint Venture company; your accountant could advise the benefits/problems.
