    Share Certificates

    I am a company secretary of a private limited company and I find that no share certificates have been issued to shareholders. Who issues these? Do shareholders get one certificate for each share held or does one certificate showing the number of shares held suffice? Do the certificates have to be registered or endorsed by Companies House or other authority? Any help would be greatly appreciated.

      Thank you for your reply. It is much appreciated. However I still need to know (1) who is reponsible for issuing the certificates e.g. the company secretary, Companies House, or any other authority, and (2) If it is the company secretary's responsibility, does he issue one certificate per share or one certificate covering the entire holding.

        Whoever issues them issues one certificate covering that shareholders entire holding in that company.

        The company issues the share certificates (which are bits of paper) but logs the information of shareholders with companies house.

        The share certificates for my limited where done by my accountant when the company was set up.

            You may be able to purchase a "Combined Company Register" from an accountants, a good stationery shop or from Amazon. Mine cost £10 & I have seen them advertised on Amazon for about £25, produced by the firm "Guildhall".

            These contain share certificates as well as a register of directors, allotment and transfer of shares, minutes of meetings, etc.
