    Sacking a Company Secretary

    Not directly related to contracting, but one of you might be able to advise...

    A mate's wife is listed as Company Secretary in Ltd company with a chap who is listed as Director (listings with Companies House). The Ltd company runs a pub. She was employed at the pub on a day to day basis but he doesn't have much to do with the day to day running of the pub.

    The two of them have had a falling out and he has given her the sack. Although he can sack her from the employed aspect of the business, can he also just dismiss her as Company Secretary? Or does she have any power?

    The shareholder should hold an EGM with the purpose of effectively voting off the old secretaray and voting in the new one by way of an ordinary resolution. Once the appointment / termination hs been voted on and passed a copy of the reoslution should be put on the company's Minute Book and a form 288a for the appointment and 288b for the resignation should be sent to Companies House. As far as I am aware, there aren't any issues around this provided the shareholders pass the resolution.

    If, however, the wife is a shareholder in the company, there could be more complications.

      I believe you are no longer required to have a company secretary post 6th April so just a few weeks to go ...
