    Legal liability of Company Secretary?

    Decided to move from umbrella to limited co, but I have a question around company secretary. Do they have any legal liability in terms of if I get investigated by Hector for IR35, fined, etc. etc.?

    Or should I wait until next year when I can set up a ltd without one?

    Yes. They can get done if they fail to file all the info that companies house require of them.

    There is no liability like the directors can have for bad trading and unless they screw up on purpose doubtful they will get done with anything.
