Unless I am misunderstanding you - the contract should be between your business and the client; who you then provide to complete the work is up to you. As long as your friend has the necessary skills and experience to complete the project I can't see that there should be any problem.

Either - it's a negotiation. You may have your standard terms of contract, and so will they. You need to agree the contract.

If you already have one drawn up, then send them that and see what they say. If they off something different, see what it means for you.

I would take them your contract and get them to agree / negotiate based on that.
