Rectify Problems

Hi All,

Just received my contract and reading through it and come across the following.

3.8 The Contractor shall promptly rectify at its own expense any defects in the Services, provided that such defects are made known to the Contractor in writing prior to completion of the Services or termination of this Agreement for any reason.

Does this sound okay ? How do you guys usually handle this one ?

Yes, it's perfectly normal to have to rectify defects at the expense of YourCo. Of course, what constitutes a defect is defined by the mutually agreed Acceptance Criteria, which you'll need to be clear about to avoid a situation whereby you designed a rocket lolly and the client wanted the moon on a stick.

Have you had QDOS et al check your contract for you?

A contractor taking financial risk is an indicator of being outside IR35. It's a common clause in contracts and should be seen as a positive if you're looking to work outside of the legislation.
