    You are correct.

    You can attract a (usually fixed rate) penalty for not doing something at all or on time. (A late return is £100 to begin with and goes up from there if the omission continues).

    You can attract a tax based penalty where there is a problem with the amount of tax or how it's reported or similar.

          1 current director who is South African. UK address which is probably a post box.

          There is a UK address for the company - however it is probably old.

          If I was a former member and could be bothered, I think I would go round to the UK addresses. More likely I would join BG.

            One of the resigned directors still holds all the shares. Strange setup.
            Also, of the 3 domains they have registered, only 1 is still active and has been converted to a private individual's domain (rather than limited company). The address for that domain is different to the registered address for the company, but may be where the current director lives. The shareholder appears to live in Devon (but is also a South African)

                2. Is it worth me appealing?

                    Be aware that HMRC have said that they are prepared to go back to 1999, but certainly any loan entered into after 2010 is very much in their sights.

                    But the 1999 - 2010 will probably be caught by the April 2019 legislation:
                    From April 2019, disguised remuneration loans dating between April 1999 and December 2010 will become taxable. HMRC will be looking to recover “all tax due”, which will include interest and penalties for late payment.

                      Where they can find them. A lot of promoters said it did not need to be on tax return and have since gone bust.

                      Prior to 2008 there were very few loan schemes.
